DEFINITIONS 1.1 "Participant" or "You" means any individual who registers for and/or attends the Workshop, whether personally or through a parent/legal guardian. 1.2 "Workshop" means the 3-Day Live Online Workshop offered by IRO on AI-powered design, including all live sessions, downloadable materials, templates, and bonus resources. 1.3 "Workshop Fee" means the non-refundable fee of ₹99 (Indian Rupees Ninety-Nine Only), unless otherwise stated, inclusive of all applicable taxes (GST @ 18%). 1.4 "Digital Products" means the AI Prompt Playbook (PDF), Canva Design Templates, slides, worksheets, bonus design resources, and any other downloadable materials provided as part of the Workshop. 1.5 "Parent/Guardian" means the parent or legal guardian of a Participant who is below 18 years of age. ________________________________________ 2. ELIGIBILITY AND REGISTRATION 2.1 By registering for the Workshop, you represent and warrant that: (a) You are at least 18 years of age and competent to contract under the Indian Contract Act, 1872; OR (b) You are below 18 years of age and your Parent/Guardian has provided verifiable consent through the parental consent workflow on our registration platform, and your Parent/Guardian is the contracting party on your behalf. 2.2 If you are between 13 and 17 years of age, you may register only through the Parent/Guardian consent workflow. We do not knowingly collect data from children below 13 years of age for this Workshop. If we discover that we have collected data from a child below 13 without verified parental consent, we will delete such data immediately. 2.3 Registration is confirmed only upon: (a) Completion of the registration form with accurate information; (b) Explicit click-wrap acceptance of these Terms & Conditions and the Privacy Policy; (c) Explicit consent for the processing of personal data as per the Privacy Policy (granular consent for service delivery and separate consent for marketing); (d) Successful payment of the Workshop Fee through our authorized payment gateway (Razorpay). 2.4 You agree to provide accurate, current, and complete information. We reserve the right to suspend or terminate your access if any information is inaccurate, false, or misleading. ________________________________________ 3. WORKSHOP FEE, PAYMENT, AND GST 3.1 The Workshop Fee is ₹99 (Indian Rupees Ninety-Nine Only). 3.2 This fee is inclusive of Goods and Services Tax (GST) at the applicable rate (currently 18%). The taxable value is ₹83.90 and GST is ₹15.10, totaling ₹99.00. 3.3 Payment must be made through the Razorpay payment gateway integrated on our website. We accept UPI, credit/debit cards, net banking, and select wallets. 3.4 We do not store your payment card details, CVV, or passwords. All payment processing is handled by Razorpay in compliance with Reserve Bank of India (RBI) guidelines for payment aggregators. 3.5 A GST-compliant tax invoice will be automatically generated and emailed to the registered email address upon successful payment. The invoice will contain our GSTIN, your name, transaction details, HSN code, taxable value, GST rate, and total amount. 3.6 In the event of a payment failure, no amount will be deducted from your account. If a technical error results in a deduction without confirmed registration, we will automatically process a refund within 12–15 business days or manually register you within 2 (two) hours of detection, at your discretion communicated to our support team. 3.7 Duplicate payments, if any, will be identified and refunded within 12–15 business days to the original payment source without any deduction. ________________________________________ 4. REFUND AND CANCELLATION POLICY 4.1 Post-Start Non-Refundability: Once the Workshop has commenced (i.e., from the scheduled start time of Day 1), the Workshop Fee is strictly non-refundable, except in circumstances covered under Clause 4.2 below. This is because the Workshop is a live, time-bound digital service with limited capacity, and access to Digital Products is granted immediately upon registration. 4.2 Exceptional Circumstances: A refund may be granted after Day 1 has commenced only if: (a) We cancel the Workshop in its entirety due to technical failure, instructor unavailability, or force majeure; or (b) You experience a verified technical failure on our platform that prevents you from accessing all three days of the live sessions, and our support team is unable to resolve it within 24 hours of your complaint; or 4.4 Cancellation by IRO: We reserve the right to cancel or reschedule the Workshop in case of insufficient enrollment (minimum threshold), technical infrastructure failure, or force majeure events. In such cases, you will be notified by email and WhatsApp at least 12 (twelve) hours before the scheduled start time, and you will be offered: (a) A refund of the amount excluding 18% GST to the original payment source within 12–15 business days; or (b) Free transfer to the next scheduled batch of the Workshop, at your election. 4.5 Refund Process: To request a refund, email [support email] with your registered name, email, phone number, Razorpay transaction ID, and the reason (optional). Refunds will be processed to the original payment source (UPI, card, or wallet) within 12–15 business days. We do not issue cash refunds or refunds to alternative payment methods. 4.6 Chargebacks: If you initiate a payment dispute or chargeback with your bank without first contacting our support team and allowing us to resolve the issue as per this policy, we reserve the right to: (a) Suspend your access to the Workshop and all Digital Products; (b) Ban you from future registrations; and (c) Present evidence of service delivery and your acceptance of these Terms to the payment gateway and bank to dispute the chargeback. ________________________________________ 5. WORKSHOP DELIVERY, ACCESS, AND ATTENDANCE 5.1 The Workshop is delivered live via [Zoom / Google Meet / Microsoft Teams / Custom Platform] over 3 (three) consecutive days. The schedule, timings, and access links will be communicated to the registered email address and WhatsApp number (if opted in) at least 24 hours before Day 1. 5.2 It is your sole responsibility to ensure that you have a stable internet connection, a compatible device, and the necessary software installed to access the live sessions. We are not liable for your inability to attend due to internet connectivity issues, device incompatibility, power failures, or other circumstances within your control. 5.3 Recordings: Live sessions may be recorded by IRO for internal quality assurance, training, and for providing replay access to registered participants. By turning on your camera or microphone during the live session, you consent to being recorded. If you do not wish to be recorded, you may keep your camera and microphone off. The distribution of recordings, if offered, is governed by Clause 6 below. 5.4 Workshop Changes: We reserve the right to modify the Workshop schedule, instructor, content flow, or timings due to unforeseen circumstances, provided the core curriculum, duration, and deliverables remain substantially the same. 6. RECORDINGS AND REPLAY ACCESS 6.1 If replay access is offered as part of the Workshop deliverables, it will be provided through a secure, login-protected platform (e.g., our LMS, Teachable, or similar). Access will be granted for a limited period (e.g., 30 days from the conclusion of Day 3), unless otherwise stated at the time of purchase. 6.2 Replays are licensed solely for your personal viewing and learning. You may not download, screen-record, redistribute, share login credentials, or create derivative works from the recordings. 6.3 We may add visible or invisible watermarks to replay videos identifying the registered participant. Any unauthorized distribution will be traced and pursued under the Copyright Act, 1957, and these Terms. ________________________________________ 7. INTELLECTUAL PROPERTY RIGHTS 7.1 Ownership: All intellectual property rights in and to the Workshop, including but not limited to the live presentation content, scripts, slides, AI Prompt Playbook, Canva Design Templates, worksheets, worksheets, recordings, branding, logos, and trade names, are and shall remain the exclusive property of IRO Design Academy Private Limited. No ownership rights are transferred to you. 7.2 Limited License: Subject to your compliance with these Terms, IRO grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, personal-use license to: (a) Access and attend the live Workshop sessions for which you have registered; (b) Download and view the Digital Products (AI Prompt Playbook, templates, etc.) for your personal learning and professional portfolio development; (c) Use the Canva Design Templates and AI prompts to create your own design work, including client work, provided you do not redistribute, resell, or sublicense the template files themselves. 7.3 Prohibited Uses: You expressly agree that you will NOT: (a) Record, screen-capture, photograph, or transcribe any part of the live Workshop sessions without prior written consent from IRO; (b) Upload, share, sell, rent, lease, or distribute the Digital Products, recordings, or any part of the Workshop content on any platform, including but not limited to YouTube, Telegram, Google Drive, Gumroad, Instamojo, or any file-sharing service; (c) Create a competing course, workshop, or training program using IRO's curriculum, structure, or proprietary materials; (d) Remove or alter any copyright, trademark, or proprietary notices from the Digital Products; (e) Use the IRO brand name, logo, or trademarks without prior written consent; (f) Grant group access, institutional access, or shared license access to the Workshop or Digital Products. Each registration is for one individual only. 7.4 Enforcement: Violation of Clause 7.3 may result in immediate termination of your license, suspension from the Workshop, ban from future offerings, and legal action under the Copyright Act, 1957, the Trademarks Act, 1999, and specific performance/injunction under the Indian Contract Act, 1872. We reserve the right to claim damages, including lost revenue, legal costs, and statutory damages. 7.5 Third-Party Tools: The Workshop may reference or demonstrate third-party tools (e.g., Canva, Midjourney, ChatGPT, Adobe Creative Suite). Your use of such tools is governed by their respective terms of service. IRO is not affiliated with, endorsed by, or responsible for these third-party platforms. We do not guarantee their continued availability, pricing, or feature sets. ________________________________________ 8. DIGITAL PRODUCT LICENSE (SPECIFIC) 8.1 The AI Prompt Playbook, Canva Design Templates, and bonus design resources are licensed, not sold. 8.2 Permitted Use: • AI Prompt Playbook: Personal use for learning and applying prompts to your own design projects. You may use the prompts to generate outputs for your own portfolio and client work, but you may not republish the playbook or its contents as your own work. • Canva Templates: You may use the templates to create designs for your personal portfolio, social media, and client deliverables. You may not resell the template file, upload it to a template marketplace, or distribute it to others. Note: Some template elements may be licensed by Canva under Canva's Content License Agreement. Your use of those elements is subject to Canva's terms. 8.3 All rights not expressly granted are reserved by IRO. ________________________________________ 9. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY 9.1 Educational Purpose Only: The Workshop is provided for educational and informational purposes only. It does not constitute professional, legal, financial, or career advice. The skills taught require individual practice, effort, and market conditions to convert into any professional outcome. 9.2 No Outcome Guarantee: IRO does NOT guarantee or promise any specific outcome, including but not limited to: • Job placement, employment, or internship; • Freelance income, salary increase, or specific earnings; • Admission to any educational institution or company; • Client acquisition or business success; • Ranking, marks, or competitive success in any examination or competition. Individual results will vary based on effort, prior skill level, market conditions, and other factors beyond our control. 9.3 No Accreditation: The Workshop and any certificate issued are not recognized, accredited, approved, or affiliated with the University Grants Commission (UGC), the All India Council for Technical Education (AICTE), the National Council for Vocational Education and Training (NCVET), or any other statutory education body in India. The certificate is a Certificate of Participation issued by IRO Design Academy Private Limited. 9.4 AI Content Disclaimer: The Workshop teaches the use of AI-powered tools. AI-generated outputs may not be accurate, original, or suitable for all use cases. IRO is not responsible for: • The accuracy, quality, or legality of AI-generated outputs; • Copyright or trademark infringement arising from AI-generated content; • Changes in third-party AI tool availability, pricing, or terms of service. You are solely responsible for reviewing, verifying, and obtaining appropriate rights for any content you create or publish using AI tools demonstrated in the Workshop. 9.5 Service Warranty: The Workshop is provided on an "as is" and "as available" basis. IRO makes no warranties, express or implied, regarding the Workshop, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. 9.6 Limitation of Liability: To the maximum extent permitted by law, IRO's total liability to you for any claim arising out of or relating to the Workshop or these Terms shall not exceed the total amount paid by you to IRO for the Workshop (i.e., ₹99). This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if IRO has been advised of the possibility of such damages. 9.7 Exclusion of Consequential Damages: In no event shall IRO be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising out of or in connection with the Workshop. 9.8 Nothing in this Clause shall limit or exclude liability for: (a) Fraud or fraudulent misrepresentation; (b) Death or personal injury caused by negligence; (c) Any other liability that cannot be excluded under applicable law. ________________________________________ 10. INDEMNIFICATION You agree to indemnify, defend, and hold harmless IRO, its directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Your violation of these Terms; (b) Your misuse of the Workshop content or Digital Products; (c) Your infringement of any third-party rights (including IP rights) through your use of Workshop materials; (d) Any content you create or publish using AI tools demonstrated in the Workshop. ________________________________________ 11. TERMINATION AND SUSPENSION 11.1 IRO reserves the right to suspend or terminate your access to the Workshop, Digital Products, recordings, and community platforms immediately, without notice or refund, if you: (a) Violate any provision of these Terms, the Community Guidelines, or the Workshop Participation Agreement; (b) Engage in harassment, hate speech, spam, or disruptive behavior in live sessions or community platforms; (c) Record, redistribute, or commercially exploit Workshop content without authorization; (d) Provide false registration information; (e) Initiate a fraudulent chargeback. 11.2 Upon termination, all licenses granted to you under these Terms will cease immediately. You must delete all downloaded Digital Products from your devices. ________________________________________ 12. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION 12.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of India. 12.2 Any dispute, controversy, or claim arising out of or relating to these Terms or the Workshop shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 (thirty) days. 12.3 If the dispute is not resolved through negotiation, either party may refer the dispute to mediation under the Arbitration and Conciliation Act, 1996, conducted by a sole mediator appointed by the parties. The mediation shall be conducted in [CITY, STATE]. 12.4 If mediation fails, the dispute shall be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed mutually by the parties. If the parties cannot agree on an arbitrator within 15 days, the arbitrator shall be appointed by the [High Court / District Court / Institution]. The seat of arbitration shall be [CITY, STATE]. The language of arbitration shall be English. The arbitral award shall be final and binding. 12.5 Nothing in this Clause shall prejudice the rights of a Participant to approach the appropriate Consumer Dispute Redressal Commission under the Consumer Protection Act, 2019. The existence of an arbitration clause does not oust the jurisdiction of consumer forums for disputes within their pecuniary jurisdiction. 12.6 Subject to Clause 12.5, the courts at [CITY, STATE] shall have exclusive jurisdiction over any matters not resolved through arbitration. ________________________________________ 13. FORCE MAJEURE IRO shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to: acts of God, war, terrorism, riots, pandemics, government restrictions, internet outages, platform failures (Zoom/Google Meet), power failures, or cyberattacks. In such cases, we will use reasonable efforts to reschedule the Workshop or process refunds as per Clause 4.3. ________________________________________ 14. AMENDMENTS We reserve the right to amend these Terms at any time. Material changes will be notified by email and posted on the Website with an updated effective date. Your continued participation in the Workshop after such changes constitutes acceptance of the amended Terms. If you do not agree to the changes, you may request a refund under Clause 4.1 (if before Day 1) or discontinue use (if after Day 1). ________________________________________ 15. SEVERABILITY If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect. ________________________________________ 16. ENTIRE AGREEMENT These Terms, together with the Privacy Policy, Refund & Cancellation Policy, Workshop Participation Agreement, Digital Product License, and Community Guidelines, constitute the entire agreement between you and IRO concerning the Workshop and supersede all prior agreements, understandings, and representations. ________________________________________ 17.
